Heygo Terms of Service

Introduction

These Terms of Service (“Terms” or “Agreement”) govern your access to and use of the Heygo website located at heygo.com, the Heygo mobile application, Heygo products, hardware, software, firmware, services, features, content, and any related services made available by Heygo, collectively referred to as the “Heygo Services.” In these Terms, “Heygo,” “we,” “us,” and “our” refer to Heygo，Inc. “You” and “your” refer to the person accessing or using the Heygo Services, purchasing Heygo products, or, if applicable, the company or organization on whose behalf such person is acting. By placing an order, creating an account, accessing our website, using the Heygo app, using any Heygo product, or otherwise using the Heygo Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Heygo Services or purchase Heygo products. These Terms contain important information about your legal rights and obligations, including limitations of liability, warranty disclaimers, and dispute resolution provisions. Please read them carefully. Some jurisdictions do not allow certain limitations of liability, exclusions of warranties, or restrictions on consumer rights. In such cases, some of the provisions below may not apply to you.

Eligibility

To use the Heygo Services, you must be at least the age of majority in your jurisdiction of residence, or you must have the consent and supervision of a parent or legal guardian. You may not use the Heygo Services if you are under the age of 16. If you are at least 16 years old but not yet of legal age in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf and will be responsible for your use of the Heygo Services. By using the Heygo Services, you represent and warrant that you have the legal capacity and authority to enter into these Terms.

Privacy

Your privacy is important to us. Our collection, use, storage, sharing, and protection of your personal information are described in our Privacy Policy. By using the Heygo Services, you agree that we may collect and use your information in accordance with our Privacy Policy. If you do not agree with our Privacy Policy, please do not use the Heygo Services.

AI and Algorithmic Feedback

Heygo may use algorithmic systems, artificial intelligence, machine learning, or automated analysis to process activity data and generate performance insights, feedback, scores, recommendations, or other information. These systems are assistive only. They may not be accurate, complete, real-time, or suitable for every user, condition, terrain, or situation. Heygo does not guarantee that any AI-generated or algorithmic feedback will improve your performance, prevent injury, identify unsafe conditions, or produce any particular result. AI feedback and insights do not constitute a real-time collision avoidance or hazard detection system. The AI cannot identify or predict sudden ice patches, hidden rocks, obstacles, other skiers/snowboarders, or blind spots on the ski slopes. You acknowledge that skiing and snowboarding are inherently dangerous activities, and Heygo shall bear no liability or joint responsibility for any falls, collisions, injuries, or accidents resulting from your reliance on or adherence to AI voice cues, ratings, or data instructions. You remain solely responsible for evaluating your own ability, surrounding conditions, terrain, equipment, and safety at all times.

Online Store and Terms of Sale

The following terms apply to purchases made through heygo.com or any official Heygo online store. Additional terms may apply to certain products, services, memberships, promotions, bundles, pre-orders, or limited offers. If additional terms apply, those terms will be provided to you and will form part of these Terms.

Product Information and Availability

We make reasonable efforts to ensure that product descriptions, images, prices, specifications, features, colors, availability, and other information on our website are accurate and up to date. However, we do not guarantee that such information is always accurate, complete, current, or error-free.

Product images are for reference only. Actual product colors, appearance, packaging, accessories, and features may vary depending on your screen settings, product version, region, or other factors.

All products are subject to availability. We reserve the right to limit quantities, discontinue products, change product specifications, reject orders, or cancel all or part of an order at any time to the extent permitted by applicable law.

Orders and Order Acceptance

When you place an order through heygo.com, your order constitutes an offer to purchase the selected product or service.

After placing an order, you may receive an order confirmation email. This confirmation means that we have received your order, but it does not mean that we have accepted your order.

Your order is accepted only when payment has been successfully processed and the product has been fulfilled and dispatched from our warehouse, unless otherwise required by applicable law.

We reserve the right to refuse or cancel any order for any reason, including but not limited to:

• Product unavailability;
• Errors in product information, pricing, promotions, or descriptions;
• Incorrect or incomplete billing, payment, or shipping information;
• Suspected fraud, unauthorized payment activity, or abuse of promotions;
• Orders that appear to be placed for unauthorized resale;
• Previous payment disputes or chargeback history;
• Legal, regulatory, export control, sanctions, or safety restrictions.

If your order is canceled after payment has been charged, we will issue a refund to the original payment method, unless otherwise required by applicable law or payment provider rules.

Pricing, Taxes, and Payment

Prices are displayed in the currency shown at checkout and may vary by country, region, sales channel, promotion, or time.

Your total order price may include the product price, applicable taxes, shipping fees, duties, handling fees, and any other charges shown at checkout, less any applicable discounts.

Prices are subject to change without notice. Price changes will not affect orders that have already been accepted.

We do not provide price protection, price matching, or refunds for price drops, promotional offers, or discounts introduced after your order is placed, unless otherwise required by applicable law.

If a product is listed at an incorrect price due to typographical error, system error, supplier error, or other pricing mistake, we reserve the right to refuse or cancel any order placed at the incorrect price, whether or not the order has been confirmed or payment has been charged. If payment has already been charged and the order is canceled, we will refund the amount paid.

By providing a payment method, you represent and warrant that you are authorized to use that payment method and authorize Heygo or its third-party payment processor to charge your payment method for the total amount of your order.

If your payment method cannot be verified, is invalid, is declined, or is otherwise unacceptable, your order may be suspended or canceled.

We are not responsible for any fees charged by your bank, card issuer, payment provider, or currency conversion provider.

Discounts and Promotional Codes

Heygo may offer discounts, promotional codes, referral codes, coupons, bundles, or other promotional offers from time to time.

Unless otherwise stated, promotional codes:

• May be used only once per customer;
• Must be used for their intended purpose and audience;
• May not be copied, sold, transferred, published, or made available to the general public without Heygo's permission;
• May not be combined with other offers or promotions unless expressly stated;
• Have no cash value and may not be redeemed for cash;
• May expire before use;
• May be modified, disabled, or canceled by Heygo at any time to the extent permitted by applicable law.

Heygo reserves the right to cancel orders, revoke discounts, or refuse service if we suspect misuse, fraud, unauthorized distribution, or abuse of promotional codes.

Shipping and Delivery

Shipping methods, estimated delivery times, and delivery fees are provided at checkout or on our website.

Delivery dates are estimates only and are not guaranteed unless expressly stated in writing. Heygo is not responsible for delays caused by carriers, customs, weather, incorrect addresses, failed delivery attempts, force majeure events, or circumstances outside our reasonable control.

You are responsible for providing accurate and complete shipping information. If a package is returned, delayed, lost, or requires redelivery due to an incorrect address, refusal of delivery, failure to sign, failure to collect, or other reason not caused by Heygo, you may be responsible for related fees.

Risk of loss or damage passes to you when the product is delivered to the address you provided, unless otherwise required by applicable law.

For international orders, you may be responsible for customs duties, import taxes, VAT, brokerage fees, customs clearance charges, and other local charges. Heygo is not responsible for delays caused by customs or import procedures.

Pre-Orders

Heygo may offer pre-orders for products that are not yet available or are temporarily out of stock.

Estimated shipping dates for pre-orders are provided for reference only and are not guaranteed. Shipping dates may change due to production, supply chain, logistics, certification, regulatory, or other factors.

Unless otherwise stated, you may cancel a pre-order before it has been dispatched and receive a refund. Once a pre-order has been dispatched, the applicable return, exchange, or warranty policy will apply.

Returns, Exchanges, and Warranty

Returns, exchanges, and warranty services are governed by Heygo's separate Warranty Policy, Return Policy, or other applicable after-sales policy.

For eligible products purchased through heygo.com, Heygo currently provides:

• A 30-day satisfaction exchange policy; and
• A 90-day replacement policy for confirmed quality issues.

EU/UK/China consumers are also entitled to a statutory 14-day cooling-off period and a minimum 2-year legal warranty against defects in materials and workmanship.

The specific eligibility requirements, exclusions, shipping cost rules, service process, and limitations are described in Heygo's Warranty Policy.

Products purchased through third-party platforms, resellers, or unauthorized channels may be subject to the policies of the original sales channel. Heygo may refuse warranty, exchange, or after-sales service for products purchased from unauthorized channels, unless otherwise required by applicable law.

Compatibility

Heygo products may require compatible devices, operating systems, app versions, accessories, internet access, Bluetooth, sensors, firmware updates, or other technical conditions to function properly.

You are responsible for ensuring that your device, system, accessories, and environment are compatible with Heygo products and services before purchase and use.

Lack of compatibility with unsupported devices, third-party products, outdated operating systems, unauthorized accessories, or unsupported software does not constitute a product defect.

Heygo is not responsible for damage, data loss, reduced performance, or failure caused by incompatible, unsafe, uncertified, improperly rated, unauthorized, or non-compliant third-party products, accessories, chargers, cables, software, services, or components.

Account Registration and Security

Certain Heygo Services may require you to create an account.

You agree to provide accurate, current, and complete information when creating or using your account, and to keep such information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify Heygo immediately if you suspect unauthorized access to or use of your account.

Heygo is not responsible for any loss or damage arising from your failure to protect your account credentials.

15. Service Availability and Updates
Heygo may modify, update, suspend, discontinue, or restrict access to any part of the Heygo Services at any time, with or without notice, to the extent permitted by applicable law. We do not guarantee that the Heygo Services will always be available, uninterrupted, secure, error-free, or compatible with every device, system, region, or network. We may provide software, firmware, or app updates from time to time. Some features may require installation of the latest version. Failure to install updates may affect performance, compatibility, security, or availability. We are not obligated to continue providing any particular feature, functionality, version, update, or service.

16. License and Permitted Use
Subject to your compliance with these Terms, Heygo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Heygo Services for your personal, non-commercial use. You may not: Copy, modify, distribute, sell, lease, sublicense, or exploit any part of the Heygo Services; Reverse engineer, decompile, disassemble, tamper with, or attempt to derive the source code of any Heygo software, firmware, or technology; Access or use the Heygo Services for any unlawful, harmful, fraudulent, abusive, or unauthorized purpose; Interfere with or disrupt the security, integrity, operation, or availability of the Heygo Services; Access non-public areas of the Heygo Services or Heygo systems; Circumvent any access controls, security measures, rate limits, or technological protections; Use bots, scrapers, crawlers, or automated tools without Heygo’s written permission; Use the Heygo name, logo, trademarks, content, or proprietary information without authorization; Use the Heygo Services to infringe the rights of others; Help or encourage others to violate these Terms. Your license will continue until terminated by you or Heygo. You may terminate your use by deleting the app and ceasing to use the Heygo Services. Heygo may suspend or terminate your access if you violate these Terms or if we discontinue support for the Services. You are strictly prohibited from logging into a single Heygo account or virtual package on multiple devices simultaneously by individuals other than yourself, as well as renting, leasing, lending, or redistributing your account to any third party. In the event that our system algorithms detect unauthorized multiple-IP logins or suspicious concurrent device streaming, Heygo reserves the right to immediately and permanently suspend or terminate the account without notice and without any liability for a refund.

17. User Content
The Heygo Services may allow you to upload, submit, post, share, or transmit content, including but not limited to profile information, activity data, photos, videos, comments, reviews, feedback, or other materials (“User Content”). You retain ownership of your User Content. However, by submitting or sharing User Content through the Heygo Services, you grant Heygo a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, display, perform, publish, translate, distribute, and create derivative works from your User Content for the purpose of operating, improving, promoting, and providing the Heygo Services, subject to our Privacy Policy and applicable law. You represent and warrant that: You own or have the necessary rights to your User Content; Your User Content does not violate any law, regulation, third-party right, privacy right, intellectual property right, or contractual obligation; Your User Content is not false, misleading, defamatory, obscene, abusive, hateful, discriminatory, threatening, violent, harassing, or otherwise harmful; Your User Content does not contain viruses, malware, or other harmful code; Your User Content does not promote illegal activity, unsafe conduct, or unauthorized commercial activity. Heygo may review, remove, refuse to display, restrict, or disable access to User Content at any time if we believe it violates these Terms, applicable law, or our community standards.

18. Feedback If you provide feedback, suggestions, ideas, comments, or recommendations regarding Heygo products or services, you grant Heygo the right to use such feedback without restriction, compensation, or obligation to you.

19. Memberships and Paid Services Heygo may offer memberships, subscriptions, passes, premium features, AI-driven digital coaching services, advanced data analytics, or other paid services (collectively, "Paid Services"). Such Paid Services may be subject to additional terms, renewal terms, cancellation terms, free trial terms, or payment terms presented to you at the time of purchase or registration. If you subscribe to an automatically renewing Paid Service, you authorize Heygo or its third-party payment processors to charge your payment method on a recurring basis until you cancel in accordance with the applicable cancellation procedures. 19.1 No Refunds After Activation or Commencement of Use Due to the digital and instantaneous nature of our virtual products and digital content, ALL SALES ARE FINAL and NON-REFUNDABLE once the Paid Service has been activated, accessed, linked to hardware, synced with sports data, or used in any capacity. This does not affect statutory refund rights for defective digital services or mandatory cooling-off rights under EU/UK law. 19.2 Important Notice for European Union (EU) and United Kingdom (UK) Consumers (Forfeiture of the Right of Withdrawal) If you reside within the European Union or the United Kingdom, you generally have a statutory right to cancel and request a refund for your online purchases within 14 days without giving any reason (the "Cooling-off Period"). However, under Article 16(m) of the EU Consumer Rights Directive (2011/83/EU) and the UK Consumer Contracts Regulations 2013, this statutory right of withdrawal DOES NOT apply to the supply of digital content or virtual services once the performance has begun. By purchasing and subsequently activating or using your Heygo virtual package/Paid Service, you hereby: Expressly consent to the immediate commencement of the performance of our digital services before the end of the statutory 14-day cooling-off period; and Explicitly acknowledge and confirm that you will forfeit and lose your statutory right of withdrawal and refund as soon as the activation, access, or use of the Paid Service begins (including but not limited to applying an activation code, linking a sensor/snowboard device, or generating AI coaching feedback). 19.3 Exceptional Cases (Non-Activation) If you have purchased a Paid Service or virtual package but have NOT activated, used, or accessed it in any way, you may request a cancellation and refund within fourteen (14) days from the date of purchase. Any such requests must be submitted in writing to our official support email: support@heygo.ai. Once an activation key or service package has been generated and validated as "used" or "active" in our system database, no exceptions will be made.

20. Referral Program Heygo may offer a referral program that allows eligible users to share referral links or codes with friends. Referral rewards, discounts, eligibility requirements, limitations, and redemption rules will be described in the applicable referral program terms. Unless expressly permitted by Heygo, referral links or codes may not be posted on public forums, coupon websites, paid advertisements, mass distribution channels, or any other public platforms. Heygo reserves the right to revoke referrals, cancel rewards, disable codes, or remove users from the referral program if we suspect fraud, abuse, misuse, self-referral, unauthorized distribution, or behavior that may harm Heygo or its reputation.

21. Third-Party Services and Links The Heygo Services may contain links to third-party websites, apps, services, content, integrations, or products. Heygo does not control and is not responsible for third-party services, content, terms, privacy practices, security, accuracy, or availability. Your use of third-party services is at your own risk and may be subject to separate terms and policies provided by those third parties.

22. Intellectual Property The Heygo Services, including but not limited to software, firmware, hardware design, user interface, graphics, logos, trademarks, service marks, trade names, text, images, videos, features, algorithms, data models, and other content, are owned by Heygo or its licensors and are protected by intellectual property laws. Except for the limited license expressly granted in these Terms, Heygo does not grant you any rights, title, or interest in or to the Heygo Services or any Heygo intellectual property. You may not use Heygo trademarks, logos, branding, or proprietary materials without Heygo’s prior written consent.

23. Export Controls and Legal Compliance You agree to comply with all applicable laws and regulations, including export control laws, import laws, sanctions laws, consumer protection laws, safety regulations, and local laws relating to the purchase, possession, use, transport, export, or re-export of Heygo products and services. You may not use, export, re-export, transfer, or provide Heygo products, software, technology, or services to any destination, person, entity, or end use prohibited or restricted by applicable law. Heygo may refuse, suspend, or terminate any order, service, shipment, exchange, replacement, or account if providing it would violate applicable laws or regulations.

24. Disclaimers To the maximum extent permitted by applicable law, except for any express warranties provided in Heygo’s Warranty Policy, the Heygo Services and all products are provided on an “as is” and “as available” basis. Heygo disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, compatibility, and error-free operation. Heygo does not warrant that: The Heygo Services will meet your requirements or expectations; The Heygo Services will achieve any particular performance, health, safety, training, or activity result; The Heygo Services will be uninterrupted, secure, timely, accurate, or error-free; Any defects or errors will be corrected; Any data, feedback, scores, recommendations, or insights will be accurate, complete, or suitable for your circumstances; The Heygo Services will be compatible with all devices, accessories, systems, networks, or regions. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you.

25. Limitation of Liability To the maximum extent permitted by applicable law, Heygo and its affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, service providers, and authorized partners shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including but not limited to loss of profits, loss of revenue, loss of data, business interruption, loss of goodwill, personal injury, property damage, substitute product costs, or any other indirect losses arising out of or relating to your use of or inability to use the Heygo Services or products. To the maximum extent permitted by applicable law, Heygo’s total liability for any claim arising out of or relating to these Terms, the Heygo Services, or any Heygo product shall not exceed the greater of: The amount you paid for the specific Heygo product or service giving rise to the claim; USD $100; or The minimum amount required by applicable law. The limitations above apply whether the claim is based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory, even if Heygo has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you. In such jurisdictions, Heygo’s liability shall be limited to the maximum extent permitted by law.

26. Indemnification To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Heygo and its affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, and service providers from and against any third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to: Your violation of these Terms; Your misuse of the Heygo Services or products; Your User Content; Your violation of any law or third-party right; Your negligent, reckless, unlawful, or unsafe conduct during any activity; Your use of incompatible or unauthorized accessories, devices, software, or services. This indemnity does not apply to the extent a claim is caused by Heygo’s negligence, willful misconduct, or product defect, or to the extent prohibited by applicable law.

27. Suspension and Termination Heygo may suspend, restrict, or terminate your access to the Heygo Services if we reasonably believe that: You have violated these Terms; Your use creates risk, harm, legal exposure, or security concerns; You have engaged in fraud, abuse, unauthorized resale, or misuse; We are required to do so by law; We discontinue the relevant product, service, feature, or region. You may stop using the Heygo Services at any time. Termination of these Terms will not affect any rights or obligations that accrued before termination, including payment obligations, warranty limitations, intellectual property rights, disclaimers, limitations of liability, dispute resolution provisions, and any other provisions that by their nature should survive termination.

28. Governing Law and Dispute Resolution These Terms and any dispute arising out of or relating to these Terms, the Heygo Services, or Heygo products shall be governed by the laws of [State/Country], without regard to conflict of law principles. To the extent permitted by applicable law, any dispute shall be resolved exclusively in the courts located in [City, State/Country], unless Heygo elects or applicable law requires another dispute resolution method. If Heygo chooses to include arbitration, the following clause may apply: To the extent permitted by applicable law, any dispute arising out of or relating to these Terms, the Heygo Services, or Heygo products shall be resolved by binding arbitration rather than in court, except that either party may bring an individual claim in small claims court where permitted. You and Heygo waive the right to a jury trial and the right to participate in a class action, collective action, or representative action, to the extent permitted by applicable law. Some jurisdictions do not allow mandatory arbitration, jury trial waivers, or class action waivers for certain consumer claims. In such cases, this section will apply only to the maximum extent permitted by law.

29. Force Majeure Heygo shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from causes beyond Heygo’s reasonable control, including but not limited to natural disasters, extreme weather, fire, flood, earthquake, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, supply chain disruption, transportation delays, customs delays, government action, power failure, telecommunications failure, internet failure, carrier delays, or other events beyond our reasonable control.

30. Changes to These Terms Heygo reserves the right to update or modify these Terms from time to time. If we make changes, we may post the updated Terms on our website or provide notice through the Heygo Services or by other appropriate means. Your continued use of the Heygo Services after the updated Terms become effective means that you accept the revised Terms. If you do not agree to the updated Terms, you should stop using the Heygo Services. Changes to these Terms will not affect any non-waivable rights you already have under applicable law.

31. Severability If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. The invalid, unlawful, or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable, to the extent permitted by applicable law.

32. No Waiver Heygo’s failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Heygo.

33. Assignment You may not assign or transfer these Terms or any rights or obligations under these Terms without Heygo’s prior written consent. Heygo may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate restructuring, sale of assets, change of control, or by operation of law.

34. Entire Agreement These Terms, together with Heygo’s Privacy Policy, Warranty Policy, Return Policy, Membership Terms, and any other terms incorporated by reference, constitute the entire agreement between you and Heygo regarding the Heygo Services and supersede any prior or contemporaneous agreements relating to the same subject matter.
